Agreement between User and Visionary People (as known as VP and https://visionary-people.com) herein the Terms of Use and Conditions.

VP content is not for resale. Unless expressly noted otherwise, everything on our sites is protected by intellectual property rights held by Visionary People or other parties that have allowed Visionary People to use their materials. All rights not expressly granted are reserved. Permission is granted to temporarily download one copy of Visionary People-provided content (i.e., articles, audio books, eBook, and video tutorials) on Visionary People’s sites for personal, non-commercial use only. 

Visionary People may remove content that appears in its sole discretion to infringe the intellectual property rights of others. Visionary People also has a policy of terminating the accounts of repeat infringers in appropriate circumstances. If you believe that content available on or through the sites infringes one or more of your intellectual property rights, please immediately notify Visionary People (“Notification”) providing the information described below.  A copy of your Notification will be sent to the person who posted or stored the material addressed in the Notification.

• Identification of the copyrighted work claimed to have been infringed.

• No Obligation for Payments: You expressly acknowledge and agree that Visionary People may exercise the rights to Your Content under these Terms and Conditions without liability for payment of any fees (including, without limitation, guild fees, union fees, or any other types of fees), residuals, payments, or royalties payable under any collective bargaining agreement or otherwise. You further agree to indemnify and hold Visionary People harmless from any and all claims, demands, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from any such fees, residuals, payments, or royalties claimed by any third party in connection with Your Content.
• Accuracy and Completeness: All information provided by you in connection with Your Content is truthful, accurate, and complete.

Visionary People reserves the right to remove Your Content at any time, for any reason, without prior notice.

VP does not knowingly collect, either online or offline, personal information from persons under the age of thirteen.

You will be able to connect your VP account to third party accounts. By connecting your VP account to your third party account, you acknowledge and agree that you are consenting to the continuous release of information about you to others (in accordance with your privacy settings on those third party sites). If you do not want information about you to be shared in this manner, do not use this feature.

Our company websites, social profiles and business tools are controlled, operated and administered by VP staff members from our offices within the USA. If you access our websites, social profiles and business tools from a location outside the USA, you are responsible for compliance with all local laws. You agree that you will not use the VP Content accessed through https://visionary-people.com/ in any country or in any manner prohibited by any applicable laws, restrictions or regulations.

The use of our sites is entirely at your own risk, and in no event shall Visionary People, its affiliates or its suppliers be liable for any direct, indirect, incidental, consequential, special, exemplary, punitive or any other monetary or other damages, fees, fines, penalties, or liabilities (including, without limitation, damages for loss of data or profit, or due to business interruption) arising out of or relating to our sites, your use or inability to use the content on our sites, even if Visionary People has been notified orally or in writing of the possibility of such damage. Visionary People may use third party providers in providing our sites. Visionary People is not liable for the acts or omissions of any such third party service providers. You agree to indemnify, defend and hold harmless VP, its officers, directors, employees, agents and third parties, for any losses, costs, liabilities and expenses (including reasonable attorney's fees) relating to or arising out of your use of or inability to use the Site or services, any user postings made by you, your violation of any terms of this Agreement or your violation of any rights of a third party, or your violation of any applicable laws, rules or regulations. VP reserves the right, at its own cost, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will fully cooperate with VP in asserting any available defenses.

Visionary People may modify the features, content and functionality of its sites, or terminate entirely any of its sites, at any time without prior notice or liability to you. Modification or termination of these terms will not affect, or result in the termination or modification, of any other existing agreements you may have with Visionary People.

Visionary People may revise these terms of use for its sites at any time without notice. These terms of use may be updated at any time and/or each time a social networking site updates their terms of use. By using these sites you are agreeing to be bound by the then current version of these terms of use. Any modifications to these terms shall be effective as of the date posted. We encourage you to periodically review these terms.

Your accessing of our sites in no way shall be deemed to create an agency or employee-employer relationship of any kind between you and Visionary People, nor do these terms extend rights to any third party. VP's performance of this agreement is subject to existing laws and legal process, and nothing contained in this agreement is in derogation of VP's right to comply with governmental, court and law enforcement requests or requirements relating to your use of the Site or information provided to or gathered by VP with respect to such use. 

If any part of this agreement is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the agreement shall continue in effect.

Unless otherwise specified herein, this agreement constitutes the entire agreement between the user and VP with respect to the Site and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between the user and VP with respect to the Site. A printed version of this agreement and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form. It is the express wish to the parties that this agreement and all related documents be written in English.

Important Information Regarding Dispute Resolution: Class Action and Jury Trial Waiver. 

Please read this section carefully. It affects your rights.

At Visionary People, we are committed to providing clear and transparent terms regarding our operations. This section outlines important information concerning how disputes between you and the Company will be resolved. By interacting with our services, you acknowledge and agree to the following provisions regarding the waiver of class action rights and the waiver of jury trial.

1. Waiver of Class Action Rights. You and the Company agree that any dispute resolution proceedings, whether in arbitration or court, will be conducted only on an individual basis and not in a class, consolidated, or representative action. You acknowledge and agree that you are waiving your right to participate as a plaintiff or class member in any purported class action or representative proceeding. Unless both you and the Company agree otherwise, the arbitrator or court may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.

2. Waiver of Jury Trial.You and the Company hereby waive any constitutional and statutory rights to go to court and have a trial in front of a judge or a jury. Instead, you and the Company elect that all claims and disputes shall be resolved by arbitration under this Arbitration Agreement. Arbitration procedures are typically more limited, more efficient, and less costly than rules applicable in court and are subject to very limited review by a court. In the event any litigation should arise between you and the Company in any state or federal court in a suit to vacate or enforce an arbitration award or otherwise, YOU AND THE COMPANY WAIVE ALL RIGHTS TO A JURY TRIAL, instead electing that the dispute be resolved by a judge.

This Agreement shall be construed and enforced in accordance with the laws of the State of California without regard to the principles of conflicts of law.  

This Agreement is a personal agreement between you and Visionary People, and no one shall be a third party beneficiary to this Agreement. Although you acknowledge that Visionary People will have the ability to enforce its rights in any court of competent jurisdiction, you hereby acknowledge and agree that the courts of the State of California in the county of Contra Costa shall have exclusive jurisdiction over any dispute relating to these terms and your use of our sites, that you shall submit to that jurisdiction and those courts, and that you expressly waive any and all rights you may have, or that may hereafter arise, to contest the propriety of such choice of jurisdiction and venue, including issues of forum non conveniens.  

You acknowledge and agree that you may not bring a claim against Visionary People relating to your use of our sites after more than one year has passed since the event occurred that gave rise to the claim, while there is no such limitation on Visionary People’s right to bring claims against you. You acknowledge and agree that the disclaimers, including the warranty disclaimers, and the liability and remedy limitations in this Agreement are material terms of this Agreement and that they have been taken into account in the decision by Visionary People to provide our sites hereunder.  

You waive your right to trial by jury of any or all issues arising in any action or proceeding between you, or your successors, and Visionary People or its successors, under or connected with this Agreement or any of its provisions. 

If any provision of this Agreement shall be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from this Agreement, shall be enforced to the fullest extent allowed by law as to affect the intention of the parties, and shall not affect the validity and enforceability of any remaining provisions.  

This Agreement and any posted operating rules constitute the entire agreement of the parties with respect to the subject matter hereof, and supersede all prior or contemporaneous communications and proposals, whether oral or written, between the parties with respect to such subject matter. 

No waiver of any provision or any right granted hereunder will be effective unless set forth in a written instrument signed by the waiving party. No waiver by either party of any breach or default hereunder shall be deemed a waiver of any subsequent breach or default. The titles and subtitles used in this Agreement are used for convenience only and are not to be considered in construing or interpreting this Agreement. 

VP reserves the right, in its sole discretion, to change the Terms under which https://visionary-people.com/ is offered. The most current version of the Terms will supersede all previous versions. VP encourages you to periodically review the Terms to stay informed of our updates.

We may provide notifications, whether such notifications are required by law or are for marketing or other business-related purposes, to you via email notice, written or hard copy notice, or through posting of such notice on our website, as we determine in our sole discretion. 

We reserve the right to determine the form and means of providing notifications to our Users, provided that you may opt out of certain notifications as required under applicable laws or as described in these Terms or our Privacy Notice. We are not responsible for any automatic filtering you or your network provider may apply to email notifications we send to the email address you provide us. 

We may, in our sole discretion, modify or update these Terms from time to time, and so you should review this page periodically. When we change these Terms in a material manner, we will update the last modified date at the top of this page and notify you that material changes have been made to these Terms.

                  No waiver of any term of these Terms will be deemed a further or              

                  continuing waiver of such term or any other term, and our failure to  

                  assert any right or provision under these Terms will not constitute a 

                  waiver of such right or provision.
